Project Merlin bank agreement set to be revealed

Chancellor George Osborne is set to announce details of Project Merlin, the government's agreement with the banks.

It is expected banks will agree to lend about £190bn to businesses this year and to reveal more about the salaries of top earners.

But it is not clear how lending will be monitored or if the agreement will actually be binding.

Bank bosses were reportedly "livid" after the government increased a levy on banks on Tuesday.
Bonuses

Details of the long-awaited agreement, expected to be announced after Prime Minister's Question Time, are also expected to include support for the government's so-called Big Society Bank.

Before the official announcement, David Cameron told the Commons that his government would be taking £200m from the banks that would go into the voluntary sector.

Banks have also been asked to show restraint in bonus payments - though these are expected to total £6bn this year.

HSBC, Barclays, Royal Bank of Scotland (RBS) and Lloyds Banking Group are set to agree to Project Merlin, along with Santander.

BBC political editor Nick Robinson said the government was determined to complete Project Merlin before banks start publishing their end-of-year results and bonus pools next week.

Banks loaned about £175bn to businesses last year and the government wants a commitment that this will increase.

However representatives of small companies have expressed concern that the pledge by the banks will be "academic".

"The vast majority of businesses are not going to the banks and seeking finance at the moment," said Andrew Cave from the Federation of Small Businesses.

"And those that do are telling us that the cost of borrowing - both existing and new borrowing - is increasing and those issues are not going to go away with today's announcement."

The chancellor said this week that he was taking a further £800m this year in his bank levy, a move he said "cleared the way" for Project Merlin to be agreed.

BBC business editor Robert Peston said executives had not been irked by the sum being demanded, but rather that it appeared to be a case of "bashing the banks" in the face of public pressure.

Do you own a small business? Are you struggling to secure credit? Has your business been refused a bank loan?

Nokia at crisis point warns new boss Stephen Elop

Nokia's new CEO has sent an outspoken and frank memo to his staff that suggests the phone giant is in crisis.
Stephen Elop describes the company as standing on a "burning platform" surrounded by innovative competitors who are grabbing its market share.

In particular, he said, the firm had been caught off guard by the success of Google's Android operating system and Apple's iPhone.

BBC News has verified that the memo is genuine.
"The first iPhone shipped in 2007, and we still don't have a product that is close to their experience," Mr Elop wrote in the note that was distributed to the Finnish company's staff and was first published by technology website Engadget.

"Android came on the scene just over two years ago, and this week they took our leadership position in smartphone volumes. Unbelievable."

Although Nokia leads the global smartphone market in terms of handset sales, its overall share has been gradually declining.

According to research firm IDC, Nokia's share fell from 38% in 2009 to 28% by the end of 2010.

Meanwhile its rivals, including Apple and HTC have seen their share increase, or remain constant.

Ben Wood, an analyst at research firm CCS insight, said the memo showed that Mr Elop has a "deep understanding of the severe structural problems Nokia is facing".

"I think it shows that he has inherited an organisation that is in much worse shape than he anticipated and the work that will be required to get it back on track should not be underestimated," he told BBC News.

Mr Elop's leaked memo also suggests that Nokia is also being squeezed at the lower, non-smartphone end of the market by Chinese manufacturers.

"They are fast, they are cheap, and they are challenging us," he wrote.

Nokia is expected to publicly address its future strategy at a media event this Friday.

Mr Wood said that he thought Mr Elop would use the briefing as a chance to issue a "mea culpa".

"He will use it to say 'we are not in a good position, we have been outgunned and if we are to recover we are going to have to take some drastic decisions'."

Mr Wood said this could involve using Android or Microsoft's Windows Phone 7 operating systems.

"No options will be ruled out," he said.

Ex-hedge fund employees charged in insider probe

NEW YORK (CNNMoney) -- Federal authorities announced charges Tuesday against four former hedge fund employees, part of an ongoing probe focused on consulting firms that allegedly leaked inside information about tech companies.

"The complaint unsealed today is a sad chronicle not only of criminal conduct but also its brazen cover-up," said Preet Bharara, the U.S. Attorney for the Southern District of New York, who was joined by FBI and SEC officials in the announcement. "It alleges hard core insider trading in stock after stock -- people blatantly trafficking in material, non-public information."

Prosecutors said the defendants, representing six different hedge funds, obtained inside information on quarterly earnings reports from big technology companies from an expert-network consultant between 2006 and 2010.

Samir Barai, the founder and portfolio manager of Barai Capital Management in New York, and Donald Longueuil, a former managing director at a Connecticut-based hedge fund, have been charged with conspiracy to commit securities fraud and obstruction of justice.

Prosecutors said Barai and Longueuil allegedly attempted to destroy digital records of their activites after reading articles about the federal investigation into insider trading and so-called "expert networking" firms.

Barai, 39, surrendered to authorities and Longueuil, 34, was arrested at his home in New York earlier Tuesday.

Jason Pflaum, who worked as a research analyst for Barai, and Noah Freeman, a former managing director at a Boston-based hedge fund, were also charged with securities fraud.

Pflaum, 37, and Freeman, 35, pleaded guilty and are cooperating with investigators.

Attorneys representing the accused did not immediately respond to phone calls requesting comment.

The companies included Marvel Technology Group, Fairchild Semiconductor International, Advance Micro Devices and others.

According to the complaint, Longueuil attempted to cover up evidence of insider trading by destroying an external flash drive containing a "log" of conversations he had with company insiders.

Longueuil later told Freeman, who was cooperating with investigators at the time, that he used a pair of pliers to break up the drives before distributing the parts to "four different garbage trucks" in New York City.

"This may be the first-ever use by a portfolio manager of pliers as a tool of the trade," said Bharara.

The ongoing investigation had previously resulted in the arrest of several employees of Primary Global Research, a California-based expert-networking firm.

The government alleges that Primary Global consultants leaked inside information on big technology companies to unnamed hedge funds over a period of several years. But the charges disclosed Tuesday are the first to involve investors who allegedly profited from the inside information.

Janice Fedarcyk, the FBI assistant director-in-charge, said she expects the investigation to continue "for some time" and to result in "additional arrests."

While prosecutors pledged to continue their investigation, they acknowledged that the services provided by expert-networking firms are not inherently illegal.

Robert Khuzami, director of the SEC's division of enforcement, said Primary Global was a firm that "matched theft with greed." But he added that "This is not a condemnation of expert-networking firms."

London Stock Exchange and Canada's TMX agree merger

(FT) -- Shares in London Stock Exchange surged almost 8 per cent on Wednesday after it agreed an all-share merger with TMX Group, operator of Canada's largest stock exchange, creating a platform with the world's largest number of mining company listings at a time of surging commodity prices.

The deal is the first big strategic move by Xavier Rolet, chief executive who took over from Clara Furse in 2009, to secure the future of the UK bourse.

However, in spite of the share price surge there were signs that some analysts were lukewarm on the deal. Citi described the deal as "defensive" and said it would distract the management from its earlier stated strategy.

"We worry that this deal looks likely to take up management time and energy in the short term. We see this putting the LSE's existing growth strategies on the backburner, which we view as a negative," the bank said in a note.

The combined group, which will have a dual stock market listing and be jointly headquartered in London and Toronto, will be worth just under £5bn ($7.7bn), including debt. It will have a combined 6,700 listings, making it the world's largest exchange by numbers of companies traded.

Mr Rolet is set to become chief executive of the merged group. Wayne Fox, chairman of TMX Group, would become chairman and Thomas Kloet, TMX chief executive, would be president. The chief financial officer of the enlarged group will be Michael Ptasznik, currently CFO of TMX.

TMX investors are to receive 2.9963 ordinary shares in the enlarged group for each share held in TMX. LSE shareholders will own 55 percent of the enlarged capital and TMX shareholders will take the remaining 45 percent.

LSE shares rose 68p or 7.6 percent to 960p, valuing the share capital at more than £2.5bn. TMX closed at C$40.28, giving Canada's largest exchange a market capitalization of C$3bn.

Based on the closing prices of the exchanges on Tuesday the combined company would have a market capitalization of about £4.2bn ($6.7bn).

The deal, which requires the approval from both provincial and federal Canadian authorities, where there are restrictions on an entity owning more than 10 per cent of an exchange, is expected to be earnings accretive for both LSE and TMX shareholders in the first full year following its completion.

The companies are targeting annual cost savings of £35m ($56.2) by the end of the second year of merger and a revenue boost of £35m in the third year of the combination growing to £100m ($160m) in the fifth year.

Mr Rolet welcomed the agreement with TMX and set out his ambition to become a leading global exchange.

"This new international leader, marrying the right cost structure, financial strength, technological expertise and product portfolio, will be strongly positioned to capitalize on growth opportunities in emerging markets and deliver them to our customers in North America, Europe and beyond."

He added: "We are aiming at nothing less than becoming a true powerhouse in the global exchange business."

Borse Dubai, LSE's largest investor, Italian bank shareholders UniCredit and Intesa Sanpaolo, as well as Qatar Investment Authority, which owns 15 percent of the LSE, favor the deal.

The deal is the latest in the sector which faces the growing threat of competition from alternative trading platforms such as Chi-X Europe and Bats Europe.

SGX, Singapore's exchange, agreed a $7.8bn bid to takeover Australia's ASX in January, to form Asia's fourth-biggest bourse. The deal valued ASX at 25 times its 2009 earnings. LSE trades at about 10 times earnings.

TMX shares have risen strongly on the back of consolidation hopes. The group's subsidiaries include the Toronto Stock Exchange and the Montreal derivatives exchange.

TMX also has a 19.9 percent stake in EDX London, a small derivatives exchange run by the LSE.

TMX markets itself as the world's leading resources market, but the LSE has also capitalized on the commodities boom.

Mining and energy companies account for 34 percent of the companies on LSE's benchmark FTSE 100 index, up from 29 percent three years ago.

TMX's main board and TSX Ventures exchange, which specializes in small-cap listings, have a combined 3,900 listings between them.

Fed Pumping Economy Like Crazy

WASHINGTON DC - USA - The Federal Reserve has started to pump away like a well oiled piston at the economies barren loins and is about to splurge with a massive wodge of cash snout sauce.
Bernanke, the Fed Chairman, has straddled the U.S. economy from behind and stormed the trenches for all his worth.

"He's shooting cash into the economy. He grabbed it by its haunches and started pumping like a dog on heat. Hopefully, the cash explosion is going to splatter the honey pot and some seeds of growth are going to spurt wildly all over the big cash depository. You see folks, the economy is like a woman who hasn't been donut creamed for a very, very long time. We need to get back in there balls deep and smack away until she starts up her engines again. Soon, we'll have her purring like a kitten -- you'll see!" U.S. Fed. spokesman, Al Kohol, told CBS news.
"Money Shot"

The amount of cash ejaculated from the printing presses of the Federal Reserve is saturating the big hairy hole in the economy that needs to be filled asap.

"We're going to fill her up all the way to the top. We're 'doing' her day and night. If it wasn't for the massive cash dump from our straining full sacks, she'd be starving. She wants more, and more, every time, just like that insatiable nympho in my local supermarket I'm banging at the moment. We're unloading our sacks into the economy until she can't take no more," Mr Kohol reiterated.

Economist and author of 'Filling that Big Cash Hole', Robert C. Spanner, recently wrote in an article in the New York Times: "The economy has got a big hole in it. That's why the Fed is now pumping cash into the hole until the hole gets filled up with cash and trickles down its legs. Sometimes, the hole is too big to fill, that's why you gotta have big sacks full of cash to spurt into the hole. No use yackin' on the economies face or jugs, we need to slap the cash in that big pink hole so that the cash seed will propagate. Do you understand now?"

Abandon Ship, Abandon Ship!

LONDON - England - The good ship UK plc is going under, as thousands of people abandon these hallowed shores before the whole lot goes down.

Like rats from a sinking ship, top bankers and businesses are abandoning the UK as it slowly sinks into the debt-ridden mire caused partly by the useless Coalition government's economic mistakes that will ensure we all go back to the stone age soon.

"Old Georgey Osborne, he just got back from Klosters and increased tax to such a rate that the destitute people are well and truly fucked. There's no way out now but down the sink hole," a businessman who dumped his business of 35 years to leave the UK said yesterday.

How about stimulating growth by decreasing tax, therefore increasing enterprise in the UK? Fat chance!

"Fuel duty and tax is now 85% of the price. Income tax is now so high that one has to work for six months of the year before you start making any money for yourself. The NHS is crumbling. VAT has risen to 20% on everything. Council Tax is increasing daily, and pensions will now be worthless as the FTSE 100 is set to sink into the mire like the GBP is doing right now. Food costs are now criminal, and if you've even got a job left, your salary won't buy much anyway," another businessman said before boarding another aeroplane out of Britain yesterday.

The mass exodus of enterprise, business, banking sector workers and non-doms will take its toll as even more inhibitive taxes are unveiled by the meddling Coalition government, who have shown themselves to be rank amateurs when it comes to economics.

Speaking at a Commons question time session yesterday, Chancellor George Osborne said: "I intend to stimulate growth in the UK economy by increasing taxation to such a level that the UK grinds to a complete halt and all the businesses leave our shattered economy and country permanently."

Gordon Brown was shit but this is even worse. Wait till they start increasing the interest rates to try and curb inflation.

British Cuisine

British cuisine has always suffered from bad press. The simple homespun fare and plain preparation of most traditional British foods pales when compared to French haute cuisine, and it's not uncommon for food critics to sound almost apologetic when writing about traditional British dishes as if there were something shameful in enjoying a good, thick joint of beef with an accompaniment of Yorkshire pudding. If they speak in glowing terms of anything at all, it is a nod to the clever naming of British foods, where dishes like bubble and squeak and spotted dick appear on restaurant menus.

And yet, for all the snickering and apologetic references, British cuisine at its best is hearty, delicious, simple fare on which to fuel the nation that influenced the entire world. There is no other nation in the world that does a roast of beef to such perfection, nor any better accompaniment to the succulent meat than a puffed, piping hot Yorkshire pudding prepared in its drippings, and few cuisines have a dessert that can compare with the pure heaven that is a well made trifle or treacle tart.

British cuisine is a blending of the practical with the nutritious. If it is, as some say, unimaginative, that may be because the food itself needs little imagination to fancy it up and make it palatable. It is certainly not because the British mind lacks imagination when it comes to food – the common names for everyday meals sometimes require a translator just so you'll know what's on your plate. A walk through a restaurant take-away menu offers such dishes as 'mushy peas', steak and kidney pie, fish and chips and bangers and mash.

There are well-known British dishes for eating at each meal. Some of the most popular include
Breakfast:
A full English country breakfast includes meat, eggs, pancakes or toast and side dishes like hash and bangers and mash. It's hearty fare, the sort that is set on the table for dinner in most other cultures. It often includes leftovers from last night's dinner, diced and fried together with seasonings and butter, sometimes called country hash.

Tea:
The tradition of mid-afternoon tea is one that's been observed by the British for centuries. Among the most common dishes served at mid-afternoon tea are finger-foods like crumpets with jam and clotted cream, dainty watercress sandwiches and scones with raisins or dried fruits.

Sunday Dinner:
The Sunday dinner has a long tradition as being a family occasion – the one meal of the week at which all family members gathered. A roast joint of meat – beef, lamb, pork or chicken – is nearly a requirement, and it is served with a potato and vegetable, and very often accompanied by Yorkshire pudding.

Puddings and custards feature prominently in British cuisine. Baked, boiled or steamed, puddings are usually made with suet and breading, and studded with dried fruits and nuts. One of the most popular and delightful British desserts is the trifle, and there are nearly as many variations as there are cooks. The base is a sponge cake, often left over from another meal. Soaked in Madeira or port, it is layered in a dish with custard, jam, fruits and Jell-O and topped with whipped cream. The end result is a delicious mélange that is features all that is good about British cookery – plain, practical cooking that is meant to fill the belly and satisfy the taste buds.

How to Paint and Clear Coat your Car

How to Paint a Car
If you have ever painted a vehicle before, you will have no problem with this project.
If this is your first paint job, just makes sure your read all of the instructions on your varnishes and take your time; you will do just fine.

Before you begin this job, make sure that you are familiar with the airbrush equipment; there is a lot of preparation work to be done first, but when it comes time to apply the paint you do want to make sure you are comfortable with the equipment and its operation.

Difficulty Level: Difficult
Make sure to read all the directions on the products you buy for this project. Make sure they are exactly what you need.

Things you'll need for this project:
Airbrush equipment
Air compressor
Masking tape
Old newspapers
Hand and electrical sander with fine, medium, and coarse sand papers; if the old paint on the car is in moderate condition, a 360 grit sandpaper will work fine
Putty knife
Primer
Base coat color paint
Bucket of clean water
Clear coat paint
Electric buffer
Buffing compound

Step 1:
Set up for your preparations somewhere outside. You will need to have a lot of maneuverability around the car to reach those hard-to-reach places; also, make sure you are in a place that can be easily cleaned, as you will be leaving a mess behind.

Begin by stripping the car of the old paint. Use a small putty knife to chip off large strips; brand new straight razor blades can also be used to pry difficult spots off the body.

Be careful not to gouge into the metal of the vehicle, as any and all dents and dings will be blatantly obvious when you are finished painting; by then it will be too late to fix them. Strip away as much as you can with the putty knife and razor blade; you should see bare metal when you are finished.
Once you have all of the large areas scraped clean, follow up with the sandpaper. Test your assortment to find out which is the most effective; the best sandpaper for any given area will change depending on where on the car you are working at.

When you are finished the surface should all be bare metal.

Step 2:
Move the car indoors; somewhere that there is still enough room to maneuver around the car as you work, and somewhere clean enough that there will not be any flying dust or debris in the air, because any and everything sticks to wet paint; with that said, also make sure that you have proper ventilation while you work.

Wearing a breathing apparatus and proper filtration masks must be used to ensure your safety while painting. Make sure that any other exposed surfaces in the area are covered with drop cloths to prevent them from becoming coated with over spray.

Step 3:
Using the masking tape and newspapers, completely cover all windows, outside mirrors, headlights, tail lights, and turn signal covers that you don't want to paint. Using the tape, cover any and all chrome or aluminum trimmings that you don't want painted. The only thing left exposed should be the bare metal that you want to paint.

Step 4:
Mix your primer into your airbrush gun following the manufacturer’s instructions. When ready, begin working in sections about a foot long, covering all of the exposed metal in even, steady strokes. Consult your manufacturer’s directions as to how long the primer needs to be left undisturbed to dry. Clean out your painting equipment thoroughly and allow it to dry while you are waiting for the primer.

Step 5:
Mix your base paint into your airbrush gun following the manufacturer’s instructions. When ready, as with the primer coat, begin working in sections about a foot long. Holding the gun about 6”-10” away from the body, begin applying the paint in even, steady strokes.

Make sure that your passes overlap to avoid seaming; you should come about halfway back and pass over a previous area before moving forward. Think, “Two steps back, one step forward” as you work.

Again, refer to the paint manufacturer’s directions in regards to drying time. As before, clean out your airbrush equipment thoroughly and allow it to dry before moving onto the next step.

Step 6:
Dipping your sandpaper in the clear water, begin to wet-sand the color coat until it is smooth. Usually the finest grade sand paper you can find will work best. Keep it sopping wet throughout this process to get the best result. Let the car dry completely before moving on.

Step 7:
Mix the clear coat varnish and load into your airbrush gun according to the manufacturer’s instructions. Using the same application method as before, completely cover the base coat surface with a coat of the clear varnish. Allow to dry completely, referring to the paint manufacturer’s instructions as to time. Once again completely clean your airbrush equipment and let dry completely.

Step 8:
Using your buffer and buffing compound, polish the clear coat until it shines like it’s ready for a showroom floor.

Stand back and admire your job well done!
But knowing what to do, doesn't always lead to doing it correctly. The owner's manuals that come with the vehicle contain a lot of good information, including a full maintenance schedule, but here are a few items you don't want to miss.

Changing the oil and checking fluid levels - As with any motorized vehicle, regular oil changes are a must for your ATV. Be sure to follow your vehicle's oil change schedule and, if the vehicle's been sitting all winter, check all fluids.

Check tire pressure - Check the tire pressure on all tires and follow manufacturer recommendations for air pressure levels.

Inspect or replace the spark plugs - The beginning of the season is a good time to replace your spark plugs, as it is a surefire way to help get your machine started more easily after its winter hibernation. Inspecting the old one is also a good way to give you an indication as to how your engine was running.

Check battery connections - After sitting idle all winter, you'll want to check the battery connections for possible corrosion and ensure they are solid.

Changing, cleaning and oiling the air filter - This is probably the most overlooked aspect of regular maintenance. Putting oil on an air filter may seem counterintuitive, but it is an essential step when replacing the air filter on many motorsports vehicles. Air filter maintenance is important in everything from a small off-road motorcycle to larger utility ATVs like the Yamaha Grizzly 700. Let's take a closer look at this important step.

"Anyone that has spent a day on dusty trails and then taken a look at their air filter can attest that the foamy exterior is likely covered in dirt and debris," says Travis Hollins, Yamaha's ATV product planning manager. "You need that moist, sticky filter oil to catch the dirt and other particles that otherwise can foul up the engine and cause long-term damage."

Many miss this detail because most air filters are not sold with the oil already applied. So, anyone cleaning or replacing an air filter will need to add the oil. It is a simple three-step process. Step 1: Remove the air filter. Step 2: Clean the filter with a specially recommended cleaner and rinse with water. Step 3: Allow the newly cleaned filter to dry, then re-apply your filter oil. Your local dealer can provide more advice and recommendations or you can look up more information on your manufacturer's website. Yamaha Motor Corp., U.S.A., as an example, offers a step-by-step instructional video by logging on to www.yamahaoutdoors.com. For many gear heads, tinkering with the engine and doing regular maintenance provides just as much satisfaction as a long trail ride or day at the track. A little time investment in the garage can payoff in hours of good riding.

Five Tips For Motorcycle and ATV Maintenance

Five tips for maintaining your motorcycle or ATV so you can keep your machine in good riding condition. Regular maintenance will keep your vehicle and yourself safe.

(ARA) - Americans have purchased more than 15 million all-terrain vehicles (ATVs) and motorcycles over the past 10 years. Along with the thrill of the ride, or the convenience of chores made easy, comes the responsibility of maintaining these machines.

Typically, most guys and gals with a garage - or at least the garage mentality - know that regular vehicle maintenance comes with the territory, much like owning a car.

But knowing what to do, doesn't always lead to doing it correctly. The owner's manuals that come with the vehicle contain a lot of good information, including a full maintenance schedule, but here are a few items you don't want to miss.
